Corporate governance

DTEK is developing its corporate governance system in accordance with the best international standards and practices. We believe that the high quality of corporate governance enables successful development, enhances the Company’s investment attractiveness, provides additional guarantees to shareholders, partners and clients, and helps to reinforce the internal control system.
 
DTEK’s corporate governance structure consists of three branches: the holding company (DTEK Holdings B.V., the Netherlands), corporate centre (DTEK LLC) and production enterprises.

This structure ensures an efficient and transparent governance system and corporate property ownership structure, creates mechanisms for making and transmitting strategic decisions in accordance with best international practice, and increases competitiveness and DTEK’s shareholder value.

The General Meeting of Shareholders is DTEK’s highest management body. The Supervisory Board, nominated by shareholders, ensures strategic governance and oversight over the activity of the executive body – the Executive Board, which carries out the day-to-day management of DTEK and fulfils the goals set by the shareholders and the Supervisory Board.
